Proposed Bylaws Revision to be voted on at Alumni Weekend

Constitution and By-Laws 

Constitution

Article I           Name:

This organization shall be known as “The Windsor High School Alumni Association.” 

Article II         Object:

The purpose of this organization shall be to encourage social interaction among its members and to foster and keep alive an interest in the school. 

Article III        Limitation of Methods:

This Association is formed pursuant to the Vermont Nonprofit Corporation Act, Title 11B Vermont Statutes Annotated and shall observe all local, state and Federal laws that apply to a nonprofit organization as defined by the Internal Revenue Code.

Article IV        Membership/Qualifications:

A.        Membership shall be open to any person who has graduated from Windsor High School. 

B.        Associate Membership shall be open to a husband or wife of a member, any faculty or staff member who has taught in the Windsor School District, but did not graduate from the district, any person attending at least one year in any level of the Windsor School District, or any person who provides an invaluable service to the Windsor Alumni Association.

Article V         Officers:

Section. I.        The officers of this Association shall be President, two Vice-Presidents, a Recording Secretary, a Membership Secretary, a Treasurer, and an Assistant Treasurer. These officers shall constitute the officers of the Executive Committee. 

Section II.       All officers shall be elected by ballot at the annual meeting. A majority of all votes cast shall constitute an election. 

Section III.         No member may hold the same office for more than five consecutive years, unless proposed by the Nominating Committee and elected by majority vote at the annual meeting.                       

Article VI.       Meetings of The Windsor High School Alumni Association: 

Section I:         The annual meeting shall be held the day following the graduation day of Windsor High School. 

Section II:       Special Meetings may be called by the President or any five members. The call for a special meeting must state the business to be transacted, and no business shall be transacted except that stated in the call. Notice of a special meeting shall be posted in at least 3 places at least ten days prior to the meeting. 

Article VII      Quorum:

Ten shall constitute a quorum for the transaction of business at any meeting of the membership of the Association. 

Article VIII     Amendments:

This constitution may be amended at any annual meeting by a majority of those present and voting.

 By-Laws

Article I           Dues:

The annual dues of members shall be set annually by the Executive Committee at their first regularly scheduled meeting after the annual meeting, payable on or before the date of the next annual meeting.

Article II         Duties of Officers:

Section I.         The duties of the officers shall be such as are implied by their respective titles and are specified in these By-Laws. 

Section II.       The President is the chief executive officer of the Association. He/She shall preside at all meetings of the Association and shall supervise and control all business and affairs of the Association. The President shall serve as Chairman of the Executive Committee. The President shall, with the advice of the Executive Committee, appoint all members of all committees except the Nominating and Executive Committees and shall be an ex officio member of the same, without the right to vote. 

Section III.      The first Vice-President, in addition to the regular duties of the office, shall oversee and serve as an ex officio member of all committees related to Alumni Weekend, except the Nominating Committee. Also he/she shall serve in the capacity of the President if an absence or vacancy occurs in the office of President. 

Section IV.      The second Vice-President, in addition to the regular duties of office, shall oversee all committees except those related to Alumni Weekend and the Nominating Committee. Also he/she shall serve as President in the absence or incapacity of both the President and the first Vice-President. 

Section V.       The Recording Secretary shall, in addition to the regular duties of the office, keep a complete and proper record of all meetings, including membership meetings, conduct all correspondence on behalf of the Association and send notice of all meetings at least one week  prior to the meeting. The Recording Secretary shall maintain all administrative documents of the Association (bylaws, committee lists, official documentations, and organization memberships), send all press releases, maintain all media contacts and cause all Association owned media sites to be updated and maintained on a regular basis.  The Recording Secretary shall also send all notice and minutes of membership meetings, to all members at least six weeks before the annual or any membership meeting.  

  Section VI.      The Membership Secretary shall, in addition to the regular duties of the office, keep a complete record of all persons graduating from Windsor High School and all associate members of the Association. In addition the Membership Secretary shall keep a complete record of the marriages and deaths of members of the Association as such information is available. The Membership Secretary shall also keep a list of the current addresses of all members. Additionally the Membership Secretary shall collect all mail and keep a record of dues paid and monies contributed and turn said monies over to the Treasurer. All records shall be maintained in an electronic spreadsheet or data base format.

  Section VII.    The Treasurer shall, in addition to the regular duties of the office, draft and present a budget to the Finance Committee for approval. The Treasurer shall collect all monies from the Membership Secretary and collect all monies from all events, fundraisers and other activities of the Association. The Treasurer shall maintain and manage all accounts of the Association and draft and present to the Executive Committee monthly and annual financial statements. The Treasurer shall pay all bills presented to the Association on approval of the Finance Committee. Approval may be by email, phone, fax, oral, or written communication, but shall ultimately be verified by signature.

  Section VIII.   The Assistant Treasurer shall, in addition to the regular duties of the office, assume all duties of the Treasurer in the absence or incapacity of that officer.

Article III        Committees:

Section I.         There shall be four standing committees, Finance, Nominating, Executive, and Scholarship.

  Section II.        The Finance Committee shall consist of three members, none of whom shall be an officer of the Association. The members shall be nominated by the President and approved by Executive Committee. The Treasurer and at least one Executive member shall be ex officio members of the Finance Committee. The Finance Committee shall review, recommend changes and approve the budget presented by the Treasurer. The majority of the three voting members shall approve all bills before payment. Approval may be by email, phone, fax, oral, or written communication, but shall be ultimately verified by signature.

Section III.      The Nominating Committee shall be comprised of three members nominated by the President and approved by the Executive Committee. The President shall make an effort to ensure that the nominees represent a broad cross-section of the classes of the Association. No officer shall be eligible to be on the Nominating Committee. This committee shall present at each annual meeting a slate of officers and members at large of the Executive Committee for the ensuing year, having first secured from the nominees their consent to serve.

                        Section IV.      The Executive Committee:

A.        The Executive Committee shall consist of at least 12 members, of whom the first 7 members shall be the officers of the Association, and not more than 21 members. The members of the Executive Committee, excluding the officers, shall be nominated from the membership at large by the Nominating Committee and elected by the membership at the annual meeting. The Executive Committee shall act on all business of the Association as the need arises throughout the year.

B.        A quorum of the Executive Committee shall consist of 40% of the number of the Executive Committee including at least 3 officers.

C.        Any vacancy occurring on the Executive Committee may be filled by an affirmative vote of the majority of the remaining members Executive Committee.

D.        An Archivist shall be appointed by the Executive Committee. He/She shall be a member of the Association and serve ex-officio on the Executive Committee. The Archivist shall collect, store, and otherwise preserve the records, media records, and other memorabilia from the Association in order to preserve a record of the activities of the Association for future generations. The collection shall remain the property of the Windsor High School Alumni Association. 

Section V.       Scholarship Committee: The scholarship committee shall review applications of graduating seniors for financial assistance to institutions for further education. The committee’s function shall be to distribute scholarship funds in a number and an amount to be determined by the Executive Committee. The President shall appoint the scholarship committee which should also include two members of the Windsor High School faculty/staff.

 Article V.        Non-Liability and indemnification of Association Executive Committee

A.        The Executive Committee members shall not be personally liable for the debts, liabilities, or other obligations of the Association.

 

B.        The Association, to the fullest extent permissible, shall indemnify the Executive Committee and any and all subcommittees of the Association under the laws of this state. The Association shall indemnify officers and committee members against all judgments, fines, settlement payments and expenses, including reasonable attorney fees, paid or incurred in connection with any claim, action suit, or proceeding, civil or criminal, to whom he/she may be a party or with which he/she may be threatened by reason of his/her being or having been an officer or committee member of the Association.

Article IV.       Amendments

These by-laws may be amended at any annual meeting by a majority of those present and voting.

As we build off this momentum and begin planning for next year we invite all of you to participate with your thoughts and ideas. In our effort to continue to re-establish the Alumni Parade as one of the premier parades in the Upper Valley we have already chosen a theme for next year‘s parade- Movie Musicals. So if you are a class of ‘01 or ‘06 begin thinking of what you want for a float title. If you are a class in the other "off" years, or a group of classes in a decade feel free to participate as well!
